Bylaws of the Princeton Democratic Municipal Committee

I. NAME AND PURPOSE
The name of this organization shall be the Princeton Democratic Municipal Committee.
The purpose of the Organization is to support the Democratic Party and its candidates, further good government, encourage grass roots participation in the Democratic Party, have a diversity of gender and background in its own leadership and membership, recruit Democratic candidates, have an open process for endorsing Democratic candidates in Primary Elections, and to fulfill its duties under Title 19 of the New Jersey Revised Code. The Organization is governed by the bylaws of the Mercer County Democratic Committee in addition to these bylaws.
II. MEMBERSHIP
The regular members of the Organization are the members of the Mercer County Democratic Committee who reside in Princeton, New Jersey. The Chair, Vice Chairs, and Treasurer are special members of the Organization in the event they are not regular members.
III. MEETINGS
The Organization shall hold a reorganization meeting on the Saturday after the certification of primary election results in each even-numbered year. Additional, periodic meetings of the Organization will be scheduled at the call of the Chair, or upon the written request of at least 10% of the regular members to the Chair.
A quorum for any meeting shall require the presence of at least 40% of the regular members. The Chair will conduct all meetings, except that a Vice Chair may conduct a meeting in the Chair's absence when requested to do so by the Chair.
If the Chair, any Vice Chair, or Treasurer of this Organization is not a regular member, he or she may vote on any motion except those legally limited to regular members. However, the person conducting a meeting shall abstain from voting unless their vote would decide the motion, or unless the vote is by secret ballot.
IV. OFFICERS
At each re-organization meeting, the regular members shall elect to two-year terms suitable persons as Chair, First Vice Chair, Second Vice Chair, and Treasurer. Notice of the election of these officers shall be provided to the Chair of the Mercer County Democratic Committee, and the Mercer County Clerk. The two Vice Chairs shall assist the Chair. The First Vice Chair shall assume the office of Chair if the office of the Chair should become vacant for any reason, in which case the Second Vice Chair shall assume the office of First Vice Chair and a new Second Vice Chair shall be elected by the regular members to serve until the next re-organization meeting.
V. AMENDMENT
These bylaws may be amended by a vote of least a two-thirds majority of those present. However, any amendment must have been presented in writing at the prior meeting of the Organization, and the amendment text sent to all members at least five days before the meeting.
VI. RULES OF ORDER
The rules contained in the current edition of Robert’s Rules of Order, newly revised shall govern the Organization in all cases to which they are applicable and which they are not inconsistent with these bylaws and any special rules of order the Organization may adopt.
